3. Nature of the store and products
OPParts Online is an independent online store enabling customers to search for and purchase spare parts and technical products for various categories of vehicles, machines and equipment, including passenger cars, vans, trucks, motorcycles, construction machines, generator engines and marine applications.
The store offers new and remanufactured products. Information about whether a product is new, remanufactured or has special features relevant to the purchase should be indicated in the product description, sales documents or other information provided to the customer before purchase, where applicable.
Customers may search for products by part number, OE number, OEM number, cross-reference number, reference number, technical number, product information or other data available in the store.
Manufacturer names, brand names, OE/OEM numbers, part numbers, cross-reference numbers and reference numbers are used solely for identification, informational or descriptive purposes to help customers recognise the product and its possible application.
OPParts Online is an independent store and is not an authorised representative, dealer, distributor, partner or entity affiliated with vehicle manufacturers, parts manufacturers or trademark owners, unless expressly stated otherwise.
Product photos, graphics, descriptions, catalogue data, reference numbers, applications and compatibility information are for informational purposes. The customer should verify the compatibility of the product with their own application, vehicle, machine, device, reference number, technical documentation and intended use.
In case of doubts regarding product compatibility, the customer should contact the store before placing an order, installing, using or further reselling the product.
4. Prices, currency and availability
Prices in the store are displayed in EUR, unless the store clearly indicates otherwise.
The store may display net and gross prices depending on customer type, account status, delivery country, tax status, store settings or data required to calculate the price correctly.
The price displayed next to the product does not include delivery costs, customs duties, import taxes, administrative charges or other costs related to import or delivery outside the European Union, unless expressly stated otherwise.
Delivery costs are displayed during the order process if automatic delivery cost calculation is available.
Some products, in particular heavy, long, oversized, palletised, fragile, glass, non-standard products or products requiring special logistics handling, may require an individual transport quotation.
The store makes efforts to keep price, availability, lead time and delivery cost information up to date. In exceptional cases, such as simultaneous purchase of the same product by more than one customer, system error, data error, delayed data update, change in supplier availability or logistics restrictions, order fulfilment may require additional time or contact with the customer.
If, after placing an order, it turns out that a product is unavailable, partially available, requires a longer lead time or cannot be delivered on the terms indicated in the store, OPParts Online may contact the customer to agree further steps, including later delivery, partial fulfilment, order modification, order cancellation or refund for unavailable products.
5. Customer account
The customer may use the store as a guest or as a registered user, if such functionality is available.
Account registration may provide access to additional features, such as order history, saved customer data, individual commercial terms, order status, sales documents or other features made available by the store.
The customer is obliged to provide true, current and complete data.
The customer is responsible for keeping account login details confidential and for using the account in accordance with the law and these Terms and Conditions.
If the customer suspects unauthorised access to the account, they should immediately contact OPParts Online.
6. Placing orders and conclusion of the sales contract
Orders may be placed through the OPParts Online store.
The customer selects a product, adds it to the cart, completes the required data, goes through the checkout process, selects or accepts the available delivery and payment method, and then confirms the order.
In the store, the delivery method or delivery cost may be selected or calculated automatically by the system based on order data, delivery country, delivery address, weight, dimensions, product type, available logistics services and delivery restrictions.
Clicking the button confirming the order, such as “Order”, “Place order”, “Buy”, “Pay”, “Order with obligation to pay” or an equivalent button, means placing the order and concluding the sales contract, unless the checkout process clearly states otherwise.
After placing the order, the customer may receive an e-mail confirming that the order has been placed or accepted.
If the order includes a product requiring an individual transport quotation, manual logistics handling, additional compatibility verification, export control, payment verification or additional confirmation, OPParts Online may contact the customer before shipment.
The Seller may refuse to fulfil an order, cancel an order or suspend its fulfilment if fulfilment would be impossible, unlawful, contrary to sanctions, embargoes, export restrictions, trade restrictions, OPParts Online compliance policy, carrier restrictions, payment operator rules, store security rules, or if the customer provided incorrect or incomplete data, did not make payment or there are other significant reasons preventing order fulfilment.
An order is a sales contract unless, in a specific case, the store clearly indicates that a given action constitutes only an enquiry, request for quotation, individual quotation or contact with store support.
7. Payments
Payments in the store may be made using payment methods made available by payment operators indicated in the store.
Available payment methods may include, in particular, card payment, bank transfer, online payments, electronic wallets, local payments or other methods made available during checkout.
The availability of specific payment methods may depend on the customer’s country, billing country, currency, order value, customer type, transaction status, risk assessment, payment operator rules or legal restrictions.
The customer undertakes to make payment within the time limit and in the manner indicated during the order process. Placing an order with an obligation to pay means the obligation to pay the total order amount displayed during checkout.
The order may be forwarded for fulfilment after payment is received or after payment confirmation is received from the payment operator, unless OPParts Online has expressly accepted another form of settlement.
An order that has been placed but not paid for may be automatically cancelled 36 hours after completion of the order process, unless OPParts Online has expressly accepted another payment deadline or another settlement method.
Automatic cancellation of an unpaid order is intended to release reserved or temporarily unavailable goods and enable other customers to purchase them.
OPParts Online may send the customer information about automatic cancellation of an unpaid order. The absence of such information does not affect the effectiveness of order cancellation if the order has not been paid within the required time.
Products added to the cart but not covered by an effectively placed and paid order do not guarantee permanent reservation or availability. Product availability may change until the order is effectively placed and paid for, unless the store clearly indicates otherwise.
OPParts Online does not need to have access to full payment card details or other detailed payment data, which may be processed directly by the payment operator in accordance with its security rules and terms.
8. Delivery and shipping
The store conducts international sales and deliveries, subject to restrictions resulting from law, sanctions, embargoes, export restrictions, trade restrictions, carrier restrictions, logistics service availability and OPParts Online compliance policy.
Detailed delivery rules, countries excluded from delivery, individual transport quotation rules, information about delivery costs, delivery times, split shipments, customs clearance, import charges, transport damage, risk of loss or damage and B2B delivery rules are set out in the separate Delivery & Shipping Policy.
Deliveries may be carried out through logistics operators, courier brokers, courier companies, carriers, parcel operators, pallet shipment operators or other transport service providers.
The name of the final carrier may not be known or visible at the time of placing the order or automatic delivery quotation. The final carrier, logistics broker or delivery operator may be indicated only after the order has been completed, packed and the shipment has been arranged.
Delivery cost and time depend in particular on the delivery country, delivery address, product type, dimensions, weight, order value, carrier availability, customs requirements, legal restrictions and shipment type.
Heavy, long, fragile, glass, palletised, oversized products or products requiring special packaging may require individual transport handling or individual delivery quotation.
Delivery times displayed in the store are estimated, unless clearly stated otherwise.
In the case of consumers, the risk of loss of or damage to the goods passes to the consumer when the goods are physically received by the consumer or by a third party indicated by the consumer, other than the carrier.
In the case of business customers, the risk of loss of or damage to the goods may pass in accordance with agreed sales terms, delivery terms, individual commercial arrangements or applicable law.
9. Export restrictions, sanctions and legal compliance
The customer undertakes not to use the store to purchase goods in a manner violating the law, including laws relating to sanctions, embargoes, export control, trade restrictions, anti-money laundering, counter-terrorist financing or financing prohibited activities.
OPParts Online may refuse to fulfil an order, cancel an order, block delivery cost calculation, suspend shipment, refuse a specific delivery or payment method or contact the customer for additional verification if the delivery country, billing country, customer data, order data, product, address, payment method, carrier, intended use of the goods or other circumstances indicate a risk of violating sanctions, embargoes, export restrictions, trade restrictions, legal provisions or OPParts Online compliance policy.
The customer is responsible for the compliance of import, customs clearance, taxes, charges, import documents, permits and product use with the laws applicable in the delivery country or destination country.
The customer undertakes to provide true and complete data required for order fulfilment, delivery, customs clearance, payment, invoicing and tax settlements.
OPParts Online does not deliver to countries, regions, persons or entities subject to sanctions, embargoes, export restrictions, trade restrictions or other legal restrictions or OPParts Online’s internal compliance policy.
10. Consumer’s right to withdraw from the contract
The consumer has the right to withdraw from a distance contract within 14 days without giving any reason, in accordance with applicable law.
The 14-day period generally starts on the day on which the consumer or a third party indicated by the consumer, other than the carrier, physically receives the goods.
To exercise the right of withdrawal, the consumer should inform OPParts Online of their decision by means of a clear statement, for example by e-mail sent to support@opparts.online.
The consumer may use the withdrawal form if such form is made available by the store, but using the form is not mandatory.
The consumer should return the goods to:
Multi Trade Hub Sp. z o.o.
ul. Osiedle 28
46-060 Prószków
Poland
The consumer bears the direct costs of returning the goods in the event of withdrawal from the contract, unless OPParts Online expressly agrees to cover these costs, did not inform the consumer before purchase about the obligation to bear return costs, or applicable law provides otherwise.
The consumer is responsible for any reduction in the value of the goods resulting from using them in a manner exceeding what is necessary to establish the nature, characteristics and functioning of the goods.
OPParts Online may withhold the refund until it receives the goods back or until the consumer provides proof of return shipment, whichever occurs first.
Receipt of the returned goods may be the basis for assessing their condition and any reduction in value if the consumer used the goods in a manner exceeding what was necessary to establish their nature, characteristics and functioning.
Detailed rules concerning withdrawal from the contract, return of goods, return costs, condition of returned goods, technical verification, reduction in value, refund and withdrawal form are set out in the separate Returns Policy.
11. Exceptions to the right of withdrawal
The consumer is not entitled to withdraw from the contract in cases provided for by applicable law.
Exceptions to the right of withdrawal are defined by law and cannot be freely extended by the store.
The right of withdrawal may not apply in particular to:
- non-prefabricated goods made according to the consumer’s specifications;
- goods serving the consumer’s individualised needs;
- clearly personalised goods;
- goods which, after delivery, due to their nature, have been inseparably combined with other items;
- goods that deteriorate quickly or have a short shelf life;
- sealed goods which cannot be returned after opening due to health protection or hygiene reasons, if the packaging has been opened after delivery;
- other cases specified by applicable law.
Some products, in particular parts brought in on individual order, parts prepared according to the customer’s individual specification, special-order parts, electrical or electronic components, components containing integrated circuits, delicate elements, glass elements, fragile products, products requiring special packaging or products requiring special handling, may be subject to return restrictions only to the extent permitted by applicable law.
If a specific product is subject to special return rules, OPParts Online informs the customer on the product page, in the cart, during checkout or in another clear manner before conclusion of the contract.
Provisions concerning exceptions to the right of withdrawal do not limit the consumer’s statutory rights related to non-conformity of the goods with the contract.
12. Returns by business customers
Business customers are not entitled to the statutory consumer right to withdraw from a distance contract.
Return of goods by a business customer is possible only after prior written acceptance by OPParts Online.
OPParts Online may refuse to accept a return from a business customer, unless the parties have agreed otherwise or applicable law provides otherwise.
If OPParts Online accepts a return from a business customer, the return conditions may be determined individually, including the return deadline, return address, packaging method, return transport cost, handling or logistics fee, product condition required for accepting the return and refund method and deadline.
OPParts Online may deduct a handling or logistics fee of up to 10% of the value of the returned goods, unless the parties agree otherwise in writing. The costs of the original delivery to the customer, return transport costs and other justified logistics costs incurred by OPParts Online may not be refundable or may be deducted from the amount refunded to the business customer, unless the parties agree otherwise.
Goods brought in on individual order, special-order goods, electrical products, electronic products, products containing integrated circuits, delicate elements, glass elements, fragile products, installed products, remanufactured products or products showing signs of use may not be accepted for return in a B2B relationship, unless OPParts Online decides otherwise in writing.
13. Complaints
The customer may submit a complaint regarding goods, order fulfilment, delivery or operation of the store.
Complaints should be sent by e-mail to: claim@opparts.online or in writing to:
Multi Trade Hub Sp. z o.o.
ul. Osiedle 28
46-060 Prószków
Poland
The complaint should include, where possible:
- the customer’s first name and surname or company name;
- order number;
- contact details;
- product name or number;
- description of the problem;
- date when the problem was identified;
- photographs or documentation, if relevant;
- the customer’s request, if the customer formulates one.
If this is relevant for assessing the complaint, OPParts Online may ask the customer for additional information, in particular the make, model, year and version of the vehicle, machine or device in which the product was installed, vehicle mileage or number of operating hours at installation and removal of the product, installation and removal dates, description of the installation method, use or circumstances in which the problem appeared, photographic or technical documentation and information whether the product was installed by a professional workshop.
The absence of some data in the complaint does not automatically result in its rejection, but may extend the time needed to process it if such data is necessary to identify the order or assess the report.
Consumer complaints concerning non-conformity of goods with the contract are processed in accordance with applicable law.
OPParts Online will respond to the consumer’s complaint within 14 days from the date of its receipt if applicable law requires such deadline to be observed. Failure to respond within this period means that the complaint is accepted to the extent provided for by applicable law.
Business customer complaints will be processed within a reasonable period depending on the nature of the case, availability of documentation, need to verify the product and contact with the manufacturer, supplier, guarantor or technical service provider.
Detailed rules concerning complaints, consumer complaint costs, B2B complaints, transport damage, manufacturer’s or guarantor’s warranty and complaints concerning remanufactured products are set out in the separate Returns Policy.
14. Non-conformity of goods with the contract and warranties
OPParts Online is liable towards the consumer for non-conformity of goods with the contract under the rules resulting from applicable law.
In the first instance, the consumer may request repair or replacement of the goods in accordance with applicable law.
In cases provided for by law, the consumer may request a price reduction or withdraw from the contract, in particular if the non-conformity of the goods with the contract is significant or if OPParts Online does not bring the goods into conformity with the contract within a reasonable time or without excessive inconvenience to the consumer.
Consumer rights resulting from law are not limited by these Terms and Conditions.
If the product is covered by a warranty granted by the manufacturer, importer, distributor, remanufacturer, technical service provider or another guarantor, warranty information may be provided on the product page, in the warranty document, sales documents or documents attached to the goods.
The warranty is an additional and voluntary right. If granted, it does not exclude or limit consumer rights under the provisions on non-conformity of goods with the contract.
In the case of business customers, OPParts Online’s liability under warranty, non-conformity, defects or contractual liability may be limited or excluded to the extent permitted by applicable law, unless the parties agree otherwise in writing.
15. Customer obligations
The customer is obliged to use the store in accordance with law, these Terms and Conditions, good practices and security rules.
The customer is obliged to provide true, current and complete data necessary for order fulfilment, payment, delivery, invoicing, customs clearance, complaint, return or contact with the store.
The customer is responsible for correct selection of parts if they make a purchase based on their own knowledge, own reference numbers, vehicle, machine, device or application data or other information without additional compatibility confirmation by OPParts Online.
The customer should check product compatibility before installation, connection, use or further resale.
The customer should not install, connect or use a product if they have doubts as to its compatibility, technical condition, intended use, application or completeness.
The customer is obliged not to provide the store with unlawful content, false data, third-party data without a legal basis, content infringing third-party rights or content that could disrupt the operation of the store.
16. Limitation of informational liability
OPParts Online makes efforts to ensure that product information is correct, current and useful.
Technical data, reference numbers, applications, photos, descriptions, compatibility information, availability information and other product data may originate from various catalogue, technical, supplier or commercial sources and may require verification before purchase, installation or use.
The customer acknowledges that in the spare parts industry, the same product may appear under different reference numbers, and the same number may have different technical, year, installation, market or catalogue variants.
OPParts Online is not liable for the consequences of incorrect installation, use of the product contrary to its intended purpose, product selection without required technical verification, product modification or use contrary to instructions, documentation, intended purpose or technical knowledge.
The above provisions do not limit mandatory consumer rights or OPParts Online’s liability for non-conformity of goods with the contract to the extent resulting from applicable law.
17. Intellectual property and trademarks
All elements of the store, including page layout, content, graphics, photos, descriptions, databases, functionalities, software and OPParts markings, may be legally protected.
Copying, distributing, modifying, downloading, scraping, reselling, commercial use or other use of store elements without OPParts Online’s consent is prohibited, unless permitted by applicable law.
Manufacturer names, brand names, OE/OEM numbers, part numbers, reference numbers and other designations may be used in the store solely for identification, informational or descriptive purposes.
The use of manufacturer names, brand names or reference numbers does not mean that OPParts Online is an authorised dealer, distributor, partner or entity affiliated with a given manufacturer, unless expressly stated otherwise.
18. Personal data
Customers’ personal data is processed in accordance with applicable data protection laws, in particular for the purpose of account management, order fulfilment, payments, delivery, complaints, returns, customer contact, store security and fulfilment of legal obligations.
Detailed information on personal data processing is set out in the separate Privacy Policy.
The customer should read the Privacy Policy before using the store or placing an order.
19. Reviews, communication and customer content
If the store enables adding opinions, reviews, comments, messages, reports or other content, the customer is obliged to provide only content that is lawful, true, reliable and does not infringe third-party rights.
It is prohibited to publish or provide unlawful, offensive, misleading content, content infringing intellectual property rights, personal data, personal rights, third-party rights, security rules or good practices.
OPParts Online may remove, block or moderate content that violates these Terms and Conditions, law, third-party rights or store security rules.
20. Provisions concerning business customers
In relations with business customers, additional commercial terms, individual arrangements, discounts, credit limits, payment terms, delivery terms, return rules, complaint rules, transport terms or cooperation terms may apply.
In the event of a conflict between individual arrangements accepted by OPParts Online and these Terms and Conditions, individual arrangements prevail to the extent permitted by law.
The business customer is obliged to inspect the goods immediately after receiving them.
The business customer should report shortages, damage, quantitative or qualitative non-conformities without undue delay after discovering them.
OPParts Online may limit or refuse fulfilment of a business customer’s order in the event of payment arrears, exceeding a credit limit, legal risk, export risk, sanctions risk, missing required data, payment problems, breach of previous arrangements or other justified reasons.
In the case of business customers, OPParts Online’s liability may be limited or excluded to the extent permitted by applicable law and individual arrangements between the parties.
21. Changes to the Terms and Conditions
OPParts Online may amend these Terms and Conditions in the event of:
- changes in applicable law;
- changes in store functionality;
- changes in payment or delivery methods;
- changes in seller details;
- changes in sales, returns, complaints, deliveries, payments or customer service rules;
- organisational, technical, legal or operational changes;
- the need to clarify rules based on operational experience.
Orders placed before the amendment of these Terms and Conditions comes into force are governed by the Terms and Conditions in force at the time of placing the order, unless applicable law provides otherwise or the change is beneficial to the customer.
The current version of these Terms and Conditions is available on the store website.
22. Governing law and dispute resolution
These Terms and Conditions are governed by Polish law, subject to mandatory provisions of law applicable to consumers.
In the case of consumers, the choice of Polish law does not deprive the consumer of protection granted by mandatory provisions of the country of their habitual residence, if such protection results from applicable law.
OPParts Online seeks to resolve disputes amicably.
The consumer may use out-of-court complaint and claim settlement methods if available in accordance with applicable law.
Disputes with business customers may be resolved by the court competent for the registered office of OPParts Online, provided that applicable law allows such provision.
